ConnectSphere Terms & Conditions

These Terms and Conditions supersede all previous versions.

Supply of Goods and/or Services: These Terms and Conditions govern the supply of goods and/or services sold by ConnectSphere Limited of Business and Technology Centre, Bessemer Drive, Stevenage, Hertfordshire, SG1 2DX, UK, Registered in England and Wales, Registered No: 4126918 ('we', 'us' and 'our) to the customer named on the order information form provided on the ConnectSphere website ('you'). Together with the completed online order ('your order'), these Terms and Conditions constitute the entire and only agreement between us in relation thereto.

Shopping With Us: Just browse our store and add any items that you wish to buy to the shopping cart. After you have finished your selection, you will be passed to your shopping cart where you will have the opportunity to remove or amend the quantity of any products or to continue shopping until you click on 'Checkout'. You will then be asked for shipping and payment details that we need to be able to complete the order. You are able to change the contents of your order at any stage during the ordering process, up until confirmation of your order.

Price & Payment: The prices displayed on the ConnectSphere website are exclusive of any applicable VAT. During the Online Transaction the amount of the applicable VAT will be displayed at the time of payment and included on your receipt. The total price payable will include any applicable VAT. You can select between British Pounds (GBP), Euro (EUR) or US Dollar (USD) for the display of all prices and charges on this site.

The price of goods does not include the delivery charge which will be charged at the rates applicable at the date you place your order and which will be displayed in the checkout process (for details see 'Delivery Charges' below). The price of services includes any charge for providing the service. Downloads are free of delivery charge. The total cost of your order will be the price of the goods and/or services you order plus any applicable delivery charge and tax. All these will be set out clearly in your Shopping Basket before you select your Payment Method prior to submitting your order.

Whilst we try to ensure that all prices on our website are accurate, errors may occur. If we discover an error in the price or description of an item you have ordered, we will not be liable to supply that item to you at the stated price, provided that we notify you before we dispatch the item concerned. If we discover an error prior to dispatch we will inform you as soon as possible and give you the option of reconfirming your order with the correct price/description or cancelling it. If we are unable to contact you we will treat the order as cancelled. Please refer to the Cancellation of Order section if you wish to cancel the order

Title: All goods and services sold by us shall remain the property of ConnectSphere until fully paid for by you, notwithstanding that the risk in the goods shall pass to you when collected or dispatched and notwithstanding that you may not have possession of the goods and/or services. Risk of damage to or loss of the goods and property in the goods shall pass to the you upon completion of a download.

Payment By Credit/Debit Card: For order amounts, excluding delivery, below £1,000 we accept Visa, MasterCard, American Express, Switch, Maestro, Solo, Visa Delta and Visa Electron.(We only accept orders for £1,000 or more, excluding delivery, with payment by Cheque, Bank Transfer or Direct Deposit cleared before dispatch.) When you choose to pay by Credit or Debit Card, payment is deducted when we process your order, once we have checked your card details. If you are shopping using a currency other than GBP, EUR or USD, place your order and your credit card company will convert the transaction to your own currency (they may add a currency exchange fee to your transaction). Purchases will appear on your card statement as PAYPAL *CONNECTSPHER.

Payment By Cheque: If you would like to pay by cheque, please select the 'Cheque - Cleared before dispatch' payment option and send us a cheque for the full order amount. When we have received the cheque, we will pay it into our bank account and when it has cleared we will dispatch the order or confirm provision of the service.

Payment By Bank Transfer or Direct Deposit : If you would like to pay by bank transfer or direct deposit, please select the 'Bank Payment or Direct Deposit' payment option and transfer or deposit the full order amount into our bank (our bank details are given during Checkout Confirmation and repeated in our order acknowledgement email). When we have received the full order amount in our bank account we will dispatch the order or confirm provision of the service.

Other Payment Methods: If you would like to pay by cash or other method, please contact us.

Payment Status: If payment is made by Credit or Debit card you will receive an email from PayPal confirming whether the transaction has been successful. We will tell you if your payment details cannot be authorised for any reason and may invite you to pay by another method. If payment is made by Cheque, Bank Transfer or Direct Deposit we will send you confirmation and/or dispatch email as appropriate once cleared funds are received in our bank account.

Tax & VAT: ConnectSphere is registered for Value Added Tax ('VAT'), which applies to many of our items including delivery for orders made from the UK or the European Union. Certain items such as hardcopy publications are zero-rated for VAT purposes. Our VAT Number is GB 773 995856.

Descriptions, Availability and Price Variation: All descriptions are given in good faith and are as accurate as possible. We reserve the right to alter prices from time to time. All items are offered for sale subject to availability and price variation. In the event that goods or services ordered are unavailable we may offer to provide substitutes. ConnectSphere will always contact you first to let you know the details of any substitutions or price changes and you will always be given the option to cancel your order if you do not accept the substitution or new price. Any offers are subject to availability and while stocks last.

Order Acknowledgement: After the order has been submitted we will allocate a Unique Order Reference Number associated with the details of the goods and/or services you have ordered. We will also send you an order acknowledgement email with the same details. This email will confirm that we have received your order and are processing it. Please note that these emails are NOT an order confirmation or order acceptance from ConnectSphere. Whilst we keep details of your order for you to subsequently access directly on this website, we recommend that you print out these terms and conditions and the order acknowledgement for your own records.

Order Acceptance: The display of items on our website is only an invitation to treat and we must receive payment for the whole of the price of the goods and/or services you order and any applicable charges for delivery (handling, packing, carriage and insurance) before your order can be accepted unless we have agreed otherwise in advance in writing. Unless we have notified you that we do not accept your order or you have cancelled it, acceptance of your order and the creation of a legally binding contract between you and us will only occur when we send you an email notifying you that items have been dispatched or our provision of services confirmed,which will contain details of how we will deliver any goods and/or services to you. (Alternatively, we may decline all or part of your order for any reason, in which case our email will tell you so.) We have included this term to protect us in the case that a mistake has been made in pricing, we have inadvertently under-priced goods, or we are no longer able to supply particular goods and/or services for some reason.

When deciding whether or not to accept your order we may use certain information about you, including any received from credit reference agency checks via PayPal or other agencies. In particular, we may pass your details to PayPal for them to check against certain public and private databases. PayPal may keep a record to use in future security checks. This helps to protect you and us against fraudulent transactions.

Back Orders: If your item is not in stock, ConnectSphere will back order for you. ConnectSphere will always email you to let you know if your item is not in stock and we will let you know what the delivery time is. If service is not available e.g. a training course is full we will always email you to let you know what alternatives are available. You will always be given option to cancel your order if you would rather not wait. For payment by Credit or Debit Card you will be offered the option to have your card payment refunded and charged again when items are available.

Cancellation of Order: You can cancel your purchase at any time either before or up to 14 days beginning with the day after the day of delivery by:

a) returning the goods to us (please bring your receipt with you and if applicable the card you paid with, so that it can be credited);

b) emailing us at sales@connectsphere.com;

c) phoning us on +44 (0)845 838 2345 - please have your order reference number and delivery details to hand;

d) writing to After Sales, ConnectSphere Limited, Business and Technology Centre, Bessemer Drive, Stevenage, Hertfordshire, SG1 2DX, UK

Your goods must be complete, unused and in 'as new' condition (e.g. if you have opened the box to examine the goods you must have done so without damaging or marking the goods in any way). Goods should be returned with the original packaging.

On cancellation for whatever reason, you will receive a full refund for the goods and/or services based on your original payment method, and in the event that the goods have already been dispatched at the date of receipt of your cancellation of the order, you must return the goods to us at your cost unless goods are being returned because they are faulty, incorrect goods or because of unsuitable substitution by us, in which case we will meet the cost of return but we ask that you allow us to nominate the carrier. Other than the cost of the return, the cancellation is free of charge.

We cannot cancel your purchase when:

a) you have purchased your goods on our premises;

b) you return your goods to us without proof of purchase;

c) there is a contract for services with your consent to begin the services and you have started using the services (this would include e.g. a training course);

d) there is a contract for goods to be supplied by download with your consent and the download has been completed;

e) the goods or services were a special order to your specification.

We will refund the price of the goods within 30 days beginning with the day on which notice of cancellation was given.

If you do not return the goods within 21 days of your cancellation, we will make a charge in respect of the cost of recovering the goods. If you do not return the goods or fail to make them available for collection within 30 days of your notice of cancellation, you will be deemed to have accepted the goods, at which point a new purchase contract will be made and you will be charged for your order at the price set out on the web site. This does not affect your statutory rights.

Your rights to cancellation are protected under The Consumer Protection (Distance Selling) Regulations 2000 as amended.

Right to Change: We reserve the right to change these terms and conditions and policies at any time. Any such changes will take effect when they are posted on the website (see date at the top). You will be asked to read and accept the terms and conditions each time you place an order to ensure that you are familiar with the current ones. Information on our website is subject to modification from time to time without notice.

Change of Specification: Owing to a policy of continuous updating and improvement there may be slight changes in the specification of goods or services supplied. ConnectSphere reserves the right to alter the material, contents or design of any goods or services without prior notice but you will have the option to cancel an order if changes occur after an order has been placed.

Governing Laws: These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and any disputes will be decided only by the English courts. English is the only language offered for the conclusion of the contract.

Validity: If any part of these Terms and Conditions are held by any court of competent authority to be unlawful, invalid or unenforceable, in whole or in part, this will not affect the validity of the remaining parts which will continue to be valid and enforceable to the fullest extent permitted by law.

Force Majeure: We shall have no liability, other than statutory rights, to you for any failure or delay in supply or delivery, or for any damage or defect to goods or services supplied or delivered hereunder, or for any loss, damage, expense, costs, delays or other liability whatsoever that is caused by any event or circumstance beyond our reasonable control (including without limitation, strikes, lockouts, other industrial disputes or any failure of transmission, communication, computer or other facilities, or your inability to access the web site for any reason, or any failure, error or delay in the sending or receiving of any notice or communication or instruction through the post or any electronic medium).

Liability: No express or implied condition, statement or warranty, is given or intended to be given as to the suitability of the goods for any particular purpose. No liability, other than statutory rights, is accepted by us for any for any administrative inconvenience, disappointment, indirect or consequential loss or damage or injury arising out of any problem in relation to use, advice, goods or services supplied whether caused either directly or indirectly and our liability to you in connection with any order will not exceed the total price charged for the relevant items under these conditions. No express or implied condition, statement or warranty, is given or intended to be given as to the suitability of the goods or services for any particular purpose.

Limitation of Liability: Nothing within these conditions operates so as to exclude, limit or restrict our liability for death or personal injury.

Links to Other Websites: Any link (be it a hypertext link or other referral device) used on our web site (including any Community Area) is provided solely for the use and convenience of the visitor. The link does not represent any endorsement or recommendation by us and does not mean that we have any association with the linked web site. We are not responsible for the content of any web sites that our web site has links with or for the legal consequences of your entering into any contracts with the third parties that have these linked web sites and we do not accept any liability for any loss, damage, expense, costs or liability whatsoever incurred by you as a result. Access to any other Internet sites linked to our website is at the user's own risk.

All Intellectual Property Rights and goodwill in or relating to the contents of this web site belong to either us or to our suppliers. The Content, trademarks, logos and service marks ("Marks") displayed on the Website are the property of ConnectSphere Limited and/or other third parties - even if not clearly identified as such. Users are prohibited from using any Marks without the written permission of ConnectSphere or such third party that may own the Marks.

Restriction on Use of Publications: You acknowledge that in calculating the price for publications purchased from us (the Publications) we have assumed that there will be no resale market and to provide adequate protection against copying by third parties it is reasonable to prevent alienation of the Publications.

Accordingly it is a condition of the contract that you will not without our prior consent in writing, resell, loan or part with possession of the Publications or any part of them and

A) Copyright subsists in the Publications. Subject to Clause B) below no part of a Publication may be reproduced in any form without our prior permission in writing.

B) You shall be permitted to make such additional use of each Publication as is permitted by the Copyright statements set out within each Publication.

C) The restriction contained in Clause A) above does not preclude you, in applying a Publication, from making free use of necessary details such as symbols and size type or grade designations including without limitation use by incorporating the same into computer programs but you are totally prohibited from selling, licensing or in any way parting with possession of any resulting product including without limitation, computer programs, without our consent in writing which if granted will be on terms including royalty.
